Tangbuy Dropshipping Affiliate Program Terms and Conditions

                                                                        Effective Date: March 25th, 2026

Welcome to the Tangbuy Dropshipping Affiliate Program. Please read these Tangbuy Dropshipping Affiliate Program Terms and Conditions (the “Agreement”) carefully, especially the clauses regarding governing law, dispute resolution, disclaimer or limitation of liability, amendments to the Agreement, and your rights and obligations. For convenience, such terms are highlighted in bold.

By participating in the Tangbuy Dropshipping Affiliate Program and/or accessing or using the Tangbuy Dropshipping Affiliate Program portal website (domain name: https://tangbuy.com/affiliate, the “Affiliate Program Portal”), you agree to be bound by this Agreement. You acknowledge and agree that you have independently evaluated the desirability of participating in the Tangbuy Dropshipping Affiliate Program, that you are not relying on any representation, warranty, or statement other than as expressly set forth in this Agreement, and that you have the legal right to enter into this contract.

1. Introduction

1.1This Agreement is entered into between you (hereinafter referred to as “you” or the “Affiliate”) and Astrobuy (Hong Kong) Limited (hereinafter referred to as “Tangbuy,” “we,” or “us”). Any and all rules, policies, guidelines, terms, and conditions relating to the Tangbuy Dropshipping Affiliate Program published and revised by Tangbuy from time to time (the “Affiliate Policies”) form an integral part of this Agreement, are inseparable from this Agreement, and have the same legal effect. You represent and agree that when participating in the Tangbuy Dropshipping Affiliate Program, you will comply with the terms and conditions set forth in this Agreement as well as all Affiliate Policies.

1.2Tangbuy reserves the right to amend this Agreement and the Affiliate Policies at any time. Any amendments to this Agreement and the Affiliate Policies will be posted by Tangbuy on the Affiliate Program Portal and shall take effect immediately upon posting. If you do not agree to the amendments, you must immediately cease participation in the Affiliate Program. If you access the Affiliate Program Portal or continue to participate in the Tangbuy Dropshipping Affiliate Program on or after the effective date of the amended Agreement and/or Affiliate Policies, you shall be deemed to have accepted the amended Agreement and Affiliate Policies and agree to be bound by them. You are responsible for reviewing updates to this Agreement and the Affiliate Policies on a regular basis. Tangbuy is under no obligation to provide notice of updates to this Agreement and the Affiliate Policies by any means other than posting them on the Affiliate Program Portal.

2. Affiliate Account

2.1 To apply to participate in the Tangbuy Dropshipping Affiliate Program (the “Affiliate Program”), you must create an affiliate account as required by Tangbuy and log in to the Affiliate Program Portal through such affiliate account. Tangbuy reserves the right, at its sole discretion, to approve or reject any application to join the Affiliate Program.

2.2 By applying to participate in the Affiliate Program, you represent and warrant that you are at least 18 years old, have the legal capacity to enter into contracts under applicable law, and are fully capable of understanding, accepting, and complying with this Agreement. If you do not possess the foregoing qualifications, you and your guardian shall bear the responsibilities and consequences arising therefrom.

2.3 When applying to join the Affiliate Program, you confirm and agree that:

(a) you will provide accurate, true, current, and complete information, and will maintain and promptly update such information upon any change;

(b) you are solely responsible for the security of your affiliate account and/or any other credentials provided to you by Tangbuy in connection with the Affiliate Program Portal, and you will maintain their security and prevent misuse at all times;

(c) you are solely responsible for and assume all risks arising from any and all activities, access, and use on the Affiliate Program Portal, as well as any information, data, or communications related to your affiliate account, and all operations and actions occurring under your affiliate account, whether authorized by you or not; and

(d) if you discover or suspect any security breach or unauthorized access related to your affiliate account or the Affiliate Program Portal, you will promptly notify Tangbuy. Tangbuy shall not be liable for any damages resulting from your failure to comply with this clause.

2.4 You represent and warrant that the information you submit to Tangbuy when applying to participate in the Affiliate Program, including but not limited to your email address and other contact information, is and will remain complete, accurate, and up to date. We may send notices (if any), approvals (if any), and information related to the Affiliate Program to the email address you submitted. You will be deemed to have received all notices, approvals, and other information sent to that email address, even if that email address is no longer current.

2.5 If Tangbuy has reasonable grounds to suspect that the information or materials you provided are incorrect, false, outdated, or incomplete, Tangbuy shall have the right to issue inquiries and/or require corrections, and shall also have the right to directly delete the relevant materials, or even suspend or terminate your participation in the Affiliate Program. You shall bear any damages and consequences arising therefrom, and Tangbuy shall not be liable in this regard.

3. Participation in the Affiliate Program

3.1 Upon successful enrollment in the Affiliate Program, you may access your unique promotional link, QR code, or invitation code (collectively, the “Affiliate Link”) via the Affiliate Program Portal. The Affiliate Program allows you to promote the Affiliate Link and earn commissions in accordance with this Agreement and the Affiliate Policies. For the purposes of this Agreement, a “Referred User” means a Tangbuy Dropshipping user who is directed to the Tangbuy.com website or application through a valid Affiliate Link provided to you, successfully creates a user account in accordance with the Tangbuy.com Terms of Use and applicable rules, and, in accordance with Tangbuy’s requirements, completes the authorization and/or connection of their online store on dropshipping.tangbuy.com, and subsequently places orders to purchase products on dropshipping.tangbuy.com, with such orders being attributed to your affiliate account for commission calculation.

3.2 You represent and agree that you will use the Affiliate Link correctly for promotion in accordance with the requirements of this Agreement and the Affiliate Policies. Failure to do so may negatively affect the attribution of Qualified Orders (as defined in Section 5.2) and/or commissions. You may only earn commissions corresponding to Qualified Orders generated through the Affiliate Link provided to you.

3.3 You represent and agree that you are responsible for creating your promotional content and for your promotional activities, and you warrant that such promotional content complies with this Agreement and all Affiliate Policies. To facilitate your participation in the Affiliate Program, Tangbuy may provide you with data, images, text, link formats, marketing content, and other information related to the Affiliate Program (collectively, the “Program Content”). Unless Tangbuy expressly agrees otherwise, you may not modify, replace, or imitate such Program Content in any way. Tangbuy reserves the right to change such Program Content at any time without prior notice to you. You shall be solely responsible for placing the Program Content in your promotional content in a manner that complies with this Agreement and the Affiliate Policies, and for promptly modifying or removing it in accordance with Tangbuy’s instructions.

3.4 You must clearly and accurately disclose your relationship with Tangbuy as an affiliate. You must not conceal your relationship with Tangbuy or your participation in the Affiliate Program in any way. You must not represent or imply that you are a related party, employee, agent, or authorized representative of Tangbuy.

3.5 The Affiliate Program and the Affiliate Program Portal are provided solely for the commercial transactions permitted under this Agreement. You may use the Affiliate Program Portal and participate in the Affiliate Program only for commercial purposes, and not as a consumer.

3.6 As a member of the Affiliate Program, you are obligated to regularly generate Qualified Orders. Tangbuy requires that at least one Qualified Order be achieved every 180 days in order to keep your affiliate account in active status.

3.7 Users of Tangbuy Dropshipping do not become your users merely because you participate in the Affiliate Program. As between you and Tangbuy, all prices, fee standards, terms and conditions, rules, policies, guidelines, and operating procedures relating to Tangbuy Dropshipping buyer orders, customer service, and product procurement as specified on the Tangbuy.com website or app (as may be amended from time to time) shall apply to such users. If any Tangbuy Dropshipping user contacts you regarding issues related to their interaction with Tangbuy.com, you acknowledge that such users must resolve their customer service issues in accordance with Tangbuy.com’s applicable rules.

4. Relationship of the Parties

You and Tangbuy are independent contracting parties. Nothing in this Agreement shall be construed to create any agency, partnership, joint venture, franchise, sales representative, or employer-employee relationship between you and Tangbuy. You shall have no authority to make or accept any offer or commitment on behalf of Tangbuy. You must not make any statement, whether on your promotional channels or on any other website, that contradicts anything in this Agreement.

5. Qualified Orders and Commission Attribution

5.1 You agree that the Tangbuy reporting system (the “Tangbuy Reporting System”，meaning the system operated by Tangbuy and/or its affiliates to record data related to the Affiliate Program on its servers) shall track and report purchases under the Affiliate Program, and Tangbuy may track and monitor your activities and the activities of Referred Users for purposes of administering the Affiliate Program.

5.2 In order for a Referred User’s order to qualify for commission (a “Qualified Order”), the order must be an order placed by the Referred User to purchase products on dropshipping.tangbuy.com during the Qualified Order Period (the “Qualified Order Period”，meaning the continuous period of one year from the date the Referred User first places an order on dropshipping.tangbuy.com, or until the termination of this Agreement, whichever occurs earlier), and it must satisfy the following requirements:

(a) you must be an Affiliate approved by Tangbuy to participate in the Affiliate Program;

(b) The Referred User must not have previously been a user of Tangbuy.com and must be a user who is exclusively and directly referred through a valid Affiliate Link to the Tangbuy.com website or application, where the Referred User successfully creates a user account in accordance with the Tangbuy.com Terms of Use and applicable rules, and, in accordance with Tangbuy’s requirements, completes the authorization and/or connection of their online store on dropshipping.tangbuy.com, and subsequently places orders to purchase products on dropshipping.tangbuy.com.

(c) the Referred User has paid Tangbuy the order fees and no chargeback has occurred;

(d) the Referred User’s order has been submitted to international logistics and the package has been delivered;

(e) the Referred User has not returned or refunded the order within the applicable return or refund period;

(f) the order is not caused by or related to any Invalid Purchase (as defined in Section 5.3); and

(g) any other requirements that may be set forth in this Agreement and the Affiliate Policies.

5.3 For purposes of Section 5.2(f), “Invalid Purchase” includes, but is not limited to, any of the following:

(a) any conduct that Tangbuy determines, at its sole discretion, to be fraudulent or potentially fraudulent;

(b) improper transactions conducted through collusion between the Affiliate and others or by any other means that Tangbuy may reasonably regard as potentially fraudulent;

(c) transactions maliciously created (or caused to be created) by the Affiliate with the intent to deceive Tangbuy into paying any commission;

(d) fraudulent activities involving fake orders, coupon abuse, malicious collusion, or any other activity intended to generate false orders;

(e) transactions that infringe intellectual property rights or other lawful rights and interests of others, or do not comply with applicable laws and regulations;

(f) any transaction that is canceled, incomplete, returned, or refunded;

(g) where the Affiliate registers a Tangbuy account through its own Affiliate Link and uses that Tangbuy account (whether or not the Tangbuy Dropshipping store-connection process is completed) to place orders on dropshipping.tangbuy.com; and

(h) any transaction that does not comply with this Agreement or the Affiliate Policies.

5.4 You acknowledge and agree that any Invalid Purchase, and any purchase related to such Invalid Purchase, shall be deemed disqualified, and Tangbuy shall have no obligation to pay commissions for such Invalid Purchase and/or any purchase related thereto. For this purpose, Tangbuy has the right to take actions pursuant to the Affiliate Policies with respect to activities caused by or related to any Invalid Purchase (whether directly or indirectly related to the Affiliate), and to recover from you any commissions, fees, or other amounts already paid to you in relation to any Invalid Purchase.

5.5 Tangbuy reserves the right to impose additional requirements from time to time (including but not limited to requiring you to provide further documents, evidence, or information) before any purchase is recognized as a Qualified Order eligible for commission.

5.6 Only naturally generated clicks on Affiliate Links will be considered for commission attribution. If you force users to click or if Tangbuy determines that fraudulent conduct exists, we may, at our sole discretion, terminate your participation in the Affiliate Program, terminate your affiliate account, and cancel your commissions.

5.7 With respect to commission attribution, if a Referred User has visited more than one Affiliate Link before engaging in activity related to a Qualified Order, Tangbuy shall attribute the commission for the eligible Qualified Order to the Affiliate whose Affiliate Link resulted in the Referred User’s Qualified Order, provided that such Affiliate Link satisfies Tangbuy’s requirements. Commissions are based on the Referred User’s Qualified Order. If the Referred User’s Qualified Order uses a coupon, the coupon amount will be deducted when calculating the commission.

6. Commission

6.1 You may participate in the Affiliate Program and earn the corresponding commission at the rate applicable to Qualified Orders generated through your Affiliate Link only if you comply with this Agreement and all Affiliate Policies. You must promptly provide Tangbuy with any information Tangbuy requires to verify your compliance with this Agreement and the Affiliate Policies.

6.2 You acknowledge and agree that Tangbuy may modify the commission rates, commission structure, and commission settlement standards applicable to commission payments (the “Commission Standards”) at any time, including but not limited to increasing or decreasing commission rates for Affiliates meeting certain qualification criteria, and issuing any additional requirements intended to incentivize best practices and reward promotional results that exceed expectations. The revised commission rates, commission structure, and/or Commission Standards will be published on the Affiliate Program Portal. Commission rates and commission structures may vary depending on product categories, affiliate tiers, and/or types of Referred Users. You are responsible for keeping yourself informed at all times of the applicable commission rates, commission structures, and/or Commission Standards.

6.3 You may log in to the Affiliate Program Portal to view the commissions accumulated under your affiliate account, if any. You acknowledge and agree that if there is any discrepancy between the Tangbuy Reporting System and your records (including but not limited to discrepancies in commission amounts and data related to commission amounts), the data of the Tangbuy Reporting System shall prevail, and you shall not object to any such discrepancy. If Tangbuy believes that any statistics in the Tangbuy Reporting System contain errors or require adjustment, Tangbuy reserves the right to revise any statistics at any time. Such revisions may affect the amount of commission to which you are entitled in connection with the Affiliate Program.

7. Payment of Commission

7.1 When applying to participate in the Affiliate Program, you must, in accordance with Tangbuy’s requirements and procedures (which may be amended from time to time), link a receiving account legally held by you (a bank account or third-party payment account) for receiving commissions under this Agreement, and you must ensure that such receiving account belongs to you personally.

7.2 Tangbuy shall pay commissions to Affiliates according to the relevant statistical data in the Tangbuy Reporting System and the provisions of the Affiliate Policies. Tangbuy’s obligation to pay commissions shall be deemed fulfilled once the payable commission amount has been credited to the balance of the Affiliate’s affiliate account. After such commission has been credited, the Affiliate may log in to the affiliate account and transfer part or all of the affiliate account balance to the linked receiving account, provided that the affiliate account balance is equal to or greater than USD 100, and that the Affiliate transfers the affiliate account balance no more than twice per month. Each transfer of affiliate account balance may be subject to reasonable service fees charged by the relevant payment service provider (such fees may be deducted from the transferred amount). Any currency conversion, if applicable, shall be calculated according to the then-current exchange rate of the relevant payment service provider at the time of transfer. The Affiliate shall properly keep the username and password of the affiliate account and shall be solely responsible for all operations and actions conducted under the affiliate account (including transfers of affiliate account balance).

7.3 You are responsible for paying all taxes related to the commissions you receive under this Agreement in accordance with applicable laws and regulations.

7.4 If Tangbuy determines or has reason to believe that an order does not satisfy the standards of a Qualified Order, or that an order constitutes an Invalid Purchase or is associated with an Invalid Purchase, or that you have engaged in any fraudulent or illegal conduct or are associated with any illegal activity, or that your participation in the Affiliate Program violates this Agreement and/or any Affiliate Policy, you agree that you are not entitled to any commission for the relevant transaction. In addition to any other rights or remedies available to Tangbuy, and to the maximum extent permitted by applicable law, you acknowledge and agree that Tangbuy reserves the right, at its sole discretion and without prior notice to you, to permanently cancel, reject, delay, suspend, or refuse payment of any and all commissions otherwise payable to you under this Agreement, whether or not such commissions are directly related to the violation, and you shall have no right to hold Tangbuy liable in this regard. You remain liable to compensate Tangbuy for all losses suffered by Tangbuy as a result of your violation, and Tangbuy may deduct or set off such amounts against any commissions otherwise payable to you.

7.5 Regardless of the reason, if Tangbuy pays you any overpayment, Tangbuy reserves the right to adjust or offset such overpayment against future commissions due to you and/or require you to return the overpaid amount in accordance with this Agreement and the Affiliate Policies.

7.6 We make no representation, warranty, or commitment regarding the commissions you may receive in connection with the Affiliate Program at any time, and we shall not be responsible for any actions you take based on your expectations.

8. Affiliate Program Code of Conduct

8.1 You represent, warrant, and undertake that:

(a) you will participate in the Affiliate Program in accordance with this Agreement and the Affiliate Policies and will comply with this Agreement and the Affiliate Policies at all times;

(b) your participation in the Affiliate Program does not violate any applicable law, regulation, license, permit, guideline, code of practice, industry standard, self-regulatory rule, judgment, decision, or any other requirement of any governmental authority having jurisdiction over you (including all such rules relating to communications, data protection, advertising, and marketing);

(c) you will comply with all applicable laws and regulations, including all anti-bribery, anti-corruption, and tax laws related to your activities;

(d) you are responsible for and will pay all taxes and other expenses arising from or related to this Agreement or your participation in the Affiliate Program; and

(e) you have no prior or existing obligations or commitments (and will not accept or assume any other obligations or commitments) that may conflict with your performance of obligations under this Agreement and the Affiliate Policies.

8.2 You agree to provide timely assistance to Tangbuy in fulfilling its obligations under applicable laws and regulations, including where Tangbuy receives requests from Referred Users in their capacity as data subjects. The Affiliate further agrees to provide timely assistance to Tangbuy in connection with any obligations to cooperate with regulatory authorities under applicable data protection laws.

8.3 You warrant and agree that when participating in the Affiliate Program and promoting Affiliate Links, you shall not:

(a) send or publish any information, data, materials, documents, text, links, software, or other content that is unlawful, infringing, harmful, threatening, coercive, defamatory, harassing, abusive, vulgar, obscene, pornographic, hateful, misleading, false, fraudulent, deceptive, discriminatory, racially or ethnically offensive, or otherwise objectionable, or that may give rise to civil and/or criminal liability under applicable law;

(b) impersonate any person or entity, or otherwise falsely state or misrepresent your affiliation, connection, or association with any person or entity;

(c) provide Tangbuy or any other person with false, misleading, or inaccurate information or materials relating to the Affiliate Links;

(d) intentionally or unintentionally engage in or induce others to engage in conduct that infringes any third party’s copyright, patent, trademark, trade secret, privacy right, or other lawful rights;

(e) intentionally or unintentionally engage in or induce others to engage in conduct that violates any applicable laws or regulations, or create, reproduce, publish, or disseminate content in violation of any applicable laws or regulations;

(f) harm the goodwill, reputation, image, or rights and interests of Tangbuy and its related persons (“Tangbuy and Its Related Persons” means Tangbuy and its officers, employees, directors, shareholders, or agents, and each of their respective successors and assigns), Tangbuy users, or any third party by sending, publishing information, or participating in the Affiliate Program;

(g) constitute, contain, or involve spam, phishing, or Prohibited Conduct (as described in Section 8.4);

(h) misrepresent in any way the Tangbuy services you promote, including their prices, plans, discounts, or features; or

(i) advertise discounts for Tangbuy services that do not exist, or refer to any discounts continuously offered by Tangbuy as seasonal or exclusive discounts. You acknowledge and agree that whether you have violated this clause shall be determined by Tangbuy at its sole discretion.

8.4 You agree that during your participation in the Affiliate Program, you will not engage in, attempt to engage in, encourage, or assist others in engaging in any Prohibited Conduct. “Prohibited Conduct” means any of the following, whether individually or in combination:

(a) using, displaying, mirroring, or framing any individual element of the Program;

(b) accessing or tampering with non-public areas of the Affiliate Program, the Affiliate Program Portal, or its services;

(c) attempting to probe, scan, or test the vulnerability of any Tangbuy system or to breach any security or authentication measures of any Tangbuy-related systems or networks;

(d) circumventing any measures adopted by Tangbuy or any third party to protect the Affiliate Program Portal or its services;

(e) copying, modifying, decompiling, disassembling, reverse engineering, tampering with, or attempting to derive the source code of any part of the Affiliate Program Portal or its services;

(f) interrupting, damaging, disrupting, or restricting the functionality of the Affiliate Program Portal or its services; and

(g) hosting, uploading, or in any way transmitting spyware, Trojan horses, worms, viruses, or any other malicious code or activities. You shall cooperate with Tangbuy to promptly isolate, mitigate, and eliminate any Prohibited Conduct and take appropriate corrective action.

8.5 Tangbuy reserves the right to require you to provide information, documents, data, and other materials relating to your promotional channels and promotional content. You warrant and agree that you shall provide complete, accurate, true, and detailed information upon Tangbuy’s request.

8.6 You are solely responsible for your promotional activities and promotional content. You acknowledge and agree that Tangbuy has no obligation to review or monitor your promotional channels in any manner, and Tangbuy assumes no liability arising from your promotional channels.

9. Intellectual Property

9.1 All text, charts, images, graphics, photographs, sounds, music, works, software, audio, video, or other visual materials, button icons, audio clips, logos, and other content on the Affiliate Program Portal are proprietary to, controlled by, or licensed to Tangbuy, and are protected by applicable intellectual property laws and regulations.

9.2 All trademarks or registered trademarks, service marks, domain names, logos, and similar identifiers related to “Tangbuy” and/or “Tangbuy Dropshipping” on the Affiliate Program Portal (collectively, the “Tangbuy Marks”) are owned by Tangbuy and/or licensed to Tangbuy, and are protected by applicable intellectual property laws and regulations. Any unauthorized reproduction, modification, imitation, or use of the Tangbuy Marks is strictly prohibited. Nothing on the Affiliate Program Portal or in this Agreement shall be construed as granting, by implication or otherwise, any license or right to use any trademark displayed on the Affiliate Program Portal without the prior written permission of Tangbuy or the applicable trademark owner.

9.3 Without the prior written consent of Tangbuy and/or the relevant rights holder, you may not in any manner copy, reverse engineer, decompile, disassemble, separate, alter, distribute, republish, display, disseminate, hyperlink, mirror, scrape, transmit, or store in an information retrieval system any content of the Affiliate Program Portal, or install it on any server, system, or device.

9.4 You retain all rights to any original content generated or created by you when promoting Affiliate Links (the “Promotional Content”) for the purpose of performing services related to the Affiliate Program. By participating in the Affiliate Program, you acknowledge and agree that you grant Tangbuy and its designees a worldwide, perpetual, irrevocable, royalty-free, non-exclusive, sublicensable (including through multiple tiers of sublicenses), unrestricted license to use your Promotional Content and any content contained therein without payment or other consideration, without any obligation to report, without obtaining approval from you or any third party, and without notifying you or any third party (the “License to Promotional Content”). The License to Promotional Content includes, without limitation, the right for Tangbuy and/or its designees, in Tangbuy’s and/or their own name, worldwide and perpetually, in any manner and for any purpose, to publish, distribute, use, improve, translate, edit, update, create derivative works from, transfer, sell, or combine with other works all or any part of the Promotional Content and any content contained therein.

10. Confidentiality

Any information provided to the Affiliate relating to Tangbuy’s business, customers, suppliers, marketing strategies, business plans, commercial details of the Affiliate Program (including any commission rates and/or commission structure), software, technology, or financial condition, or any other information designated by Tangbuy as confidential (collectively, “Confidential Information”), is an important asset that Tangbuy wishes to keep confidential. You warrant that you will take all reasonably necessary measures to protect the Confidential Information from any use or disclosure not expressly permitted by this Agreement. Except as necessary to perform this Agreement, you may not use the Confidential Information for any other purpose, and may not directly or indirectly disclose, divulge, or reveal such Confidential Information or any part thereof to any third party.

11. Limitation of Liability and Disclaimer

11.1 Tangbuy provides the Affiliate Program and all content related to the Affiliate Program to you on an “as is” and “as available” basis, including but not limited to the Affiliate Program, the Affiliate Program Portal, the Program Content, and all technologies, software, functions, products, product listings, services, tools, materials, links, Affiliate Links, data, images, text, information, and other content related to the Affiliate Program (collectively, the “Tangbuy Content”). You acknowledge and agree that you use the Tangbuy Content entirely at your own risk.

11.2 You acknowledge that failures or errors may occur in the provision and use of the Tangbuy Content; that the servers providing the Tangbuy Content may be subject to attacks involving harmful or destructive code or programs; and that content within the Tangbuy Content may become outdated or be adjusted after publication.

11.3 To the fullest extent permitted by applicable law, Tangbuy makes no express or implied warranties with respect to the Tangbuy Content, including but not limited to warranties of merchantability, reliability, completeness, accuracy, security, fitness for a particular purpose or need, non-infringement, absence of errors or defects, uninterrupted service, delay-free service, or compliance of the Tangbuy Content with laws and regulations applicable to the Affiliate.

11.4 We may suspend or terminate the provision of any Tangbuy Content at any time, or change the nature, characteristics, functions, domain name, scope, or process of any Tangbuy Content at any time, without prior notice to you and without liability.

11.5 To the fullest extent permitted by applicable law, Tangbuy and Its Related Persons shall not be liable to you or any third party for any damages or losses arising out of or relating to any of the following (including but not limited to any direct, indirect, consequential, or punitive damages or losses; any loss of revenue, profits, data, privacy, goodwill, contracts, use of funds; and damages or losses arising out of or in any way related to business interruption, whether based in tort, contract, or otherwise, and whether foreseeable or advised of the possibility thereof):

(a) participation or inability to participate in the Affiliate Program;

(b) use or inability to use the Tangbuy Content;

(c) access to, use of, or inability to access or use the Affiliate Program Portal;

(d) use of any Promotional Content;

(e) any errors, inaccuracies, viruses, malware, malicious programs, or service interruptions;

(f) maintenance of network equipment, connection failures, failures of computers, communications, or other systems, power failures, strikes, riots, fires, floods, storms, explosions, wars, governmental actions, orders of judicial or administrative authorities having jurisdiction, or causes attributable to third parties; and

(g) unauthorized access to, or alteration, deletion, destruction, or damage of your website or any data, images, text, information, or other content.

11.6 Nothing in this clause shall exclude or limit any warranties, liabilities, or representations that cannot be excluded or limited under applicable laws and regulations.

11.7 If Tangbuy is found liable, and without prejudice to any other provision of this Agreement, the total liability of Tangbuy and Its Related Persons (regardless of the basis of the claim) shall not exceed HKD 100. Unless otherwise prohibited by applicable law, this limitation applies to any and all liabilities or causes of action, however alleged or arising. The foregoing shall not relieve you of the requirement to prove actual loss.

11.8 You agree that such limitations of liability constitute a reasonable allocation of risk and are a fundamental element of the basis of the bargain between you and us. Without such limitations, the Affiliate Program would not be offered.

11.9 No oral or written information obtained by you through the Tangbuy Content or otherwise shall alter any of the disclaimers or limitations set forth in this section.

12. Indemnification

12.1 You agree to defend, indemnify, and hold harmless Tangbuy, its parent company and affiliates, and their respective officers, employees, directors, shareholders, partners, and agents from and against any and all claims, actions, damages, losses, costs, fines, penalties, liabilities, and expenses (including but not limited to attorneys’ fees) arising out of or relating to:

(a) your participation in the Affiliate Program or anything related thereto;

(b) use or misuse of the Tangbuy Content;

(c) access to, use of, or improper access to or use of the Affiliate Program Portal;

(d) your website or Promotional Content;

(e) your breach or alleged breach of any provision of this Agreement and/or any Affiliate Policy, including but not limited to any representation, statement, acknowledgment, consent, warranty, or prohibited conduct set forth in this Agreement;

(f) any incorrect, misleading, or erroneous information you provide to Tangbuy or any third party in connection with your participation in the Affiliate Program;

(g) your use of any Tangbuy Content, whether such use is authorized by Tangbuy or in violation of Tangbuy’s authorization;

(h) your infringement of any copyright, trademark, patent, privacy right, trade secret, other intellectual property right, or proprietary right of Tangbuy or any third party;

(i) your violation of any applicable tax law or failure to fulfill any tax registration obligation; or

(j) your violation or alleged violation of any applicable laws and regulations.

For any matter subject to indemnification by you, Tangbuy reserves the exclusive right of defense and control, and in such case, you shall cooperate with Tangbuy in asserting any available defenses against the relevant third party.

12.2 Without limiting the generality of Section 12.1 above, if Tangbuy, its parent company and affiliates, and their respective officers, employees, directors, shareholders, partners, or agents are sued by a third party due to your breach of obligations under this Agreement and/or the Affiliate Policies, or due to your negligence or misconduct, you are obligated to indemnify Tangbuy, its parent company and affiliates, and their respective officers, employees, directors, shareholders, partners, and agents against all claims made by such third party based on your aforementioned breach. If Tangbuy requests information or explanations from you in order to protect Tangbuy’s rights under law, you are obliged to provide such information as soon as possible, and you will also provide any assistance reasonably requested by Tangbuy to protect Tangbuy’s rights under the relevant laws.

13. Termination

13.1 Tangbuy reserves the right, at any time and at its sole discretion, to terminate the Affiliate Program, this Agreement, and/or your affiliate account for any reason, including but not limited to any breach or suspected breach by you of this Agreement, any Affiliate Policy, and/or applicable laws and regulations. If you violate any representation, statement, acknowledgment, consent, warranty, or prohibited conduct provision of this Agreement and/or any Affiliate Policy, this Agreement shall automatically terminate without prior notice to you, and Tangbuy shall not be liable for any damages.

13.2 Without prejudice to the foregoing, Tangbuy reserves the right to suspend your affiliate account or your participation in the Affiliate Program at any time and for any period Tangbuy deems appropriate in order to investigate any reasonably suspected improper conduct or fraudulent activity.

13.3 You may terminate this Agreement at any time by submitting written notice to Tangbuy, provided that such written notice is given at least seven days in advance.

13.4 Tangbuy has the right to withhold accrued but unpaid commissions for a reasonable period after termination of this Agreement to ensure that Tangbuy pays the correct amount to the Affiliate, for example, to determine whether any deduction rules apply or to account for order cancellations or returns. Termination of this Agreement shall not affect any liabilities you have incurred prior to termination due to breach of this Agreement and/or the Affiliate Policies or otherwise under this Agreement and/or the Affiliate Policies.

13.5 Upon termination of this Agreement, you shall immediately delete, without being requested to do so, all information (including personal data) and Program Content obtained from Tangbuy or any other party during your participation in the Affiliate Program, whether through the Affiliate Program Portal or otherwise, and you shall have no right to retain such information or Program Content. No commission shall be paid during any period after termination of this Agreement.

13.6 After termination of this Agreement, if you fail to transfer the balance amount in your affiliate account, if any, to your linked receiving account within the period specified in Tangbuy’s notice and as required by Tangbuy, or if the balance amount in your affiliate account, if any, is less than USD 100, Tangbuy shall have the right to permanently cancel such affiliate account balance amount, and you shall have no right to hold Tangbuy liable in this regard.

13.7 Upon termination of this Agreement, all rights and obligations of both parties shall immediately cease (including any license granted to you under this Agreement, which shall automatically terminate, and any Qualified Order Period of less than one year under this Agreement shall automatically expire early), except for matters that expressly or by their nature are intended to survive termination.

14. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People’s Republic of China (“Hong Kong”), without regard to its conflict of laws principles. Any dispute, controversy, or claim arising out of or in connection with this Agreement, or the breach, termination, or invalidity thereof, shall first be resolved through good faith negotiations between the parties. If no resolution is reached within thirty (30) days from the date one party first requests such negotiations, such dispute, controversy, or claim shall be submitted to the Hong Kong International Arbitration Centre (“HKIAC”) for arbitration in accordance with the HKIAC Administered Arbitration Rules in force at the time the arbitration is commenced. The seat of arbitration shall be Hong Kong. The arbitration shall be conducted by a sole arbitrator. The language of arbitration shall be English. The arbitral award shall be final and binding upon all parties.

15. Notices

All notices required under this Agreement must be in writing. We will send notices to you by email or through the internal messaging system of the Affiliate Program Portal, and you agree that notices sent by us via email or portal message shall constitute effective written notice. You are responsible for ensuring that the email address you provide to Tangbuy is accurate and up to date. You shall send notices to us via the designated email address specified by us or by using the internal messaging system of the Affiliate Program Portal. We will make reasonable efforts to respond to your notices promptly, but we do not guarantee consistently rapid responses.

16. General Provisions

16.1 This Agreement, the Affiliate Policies, the Terms of Use, and our Privacy Policy constitute the entire agreement between you and us regarding your participation in the Affiliate Program and supersede all prior agreements, whether written or oral, relating to your participation in the Affiliate Program.

16.2 You may not assign, subcontract, or otherwise deal with your rights and/or obligations under this Agreement. You acknowledge and agree that we may assign, subcontract, or otherwise deal with our rights and/or obligations under this Agreement without prior notice to you or your consent.

16.3 If any part of this Agreement is unlawful, invalid, or unenforceable, that part shall be deemed severable and shall not affect the validity or enforceability of the remaining provisions.

16.4 Any delay or failure by us to exercise any power, right, or remedy under this Agreement shall not be deemed a waiver of such power, right, or remedy.

16.5 All headings in this Agreement are for convenience only and shall not affect the interpretation of this Agreement.
